Legal Terms
1. Business Identity
Speed Up SharePoint is a California-registered business operated by Michael Harootoonyan as a sole proprietorship doing business as (DBA) “Speed Up SharePoint.” The business is registered with the City of Los Angeles and operates as an independent consulting provider.
2. Services
Services include SharePoint consulting, architecture review, performance analysis, optimization recommendations, and technical advisory services. All services are strictly advisory in nature and do not constitute managed services unless expressly agreed to in writing.
3. No Guarantees
All services are provided on an “as-is” and “as-available” basis. Speed Up SharePoint makes no warranties or guarantees regarding performance, results, system availability, security outcomes, compliance, or business impact.
4. Client Responsibility
Clients retain full responsibility for their systems, data, configurations, backups, access controls, and implementation decisions. Any actions taken based on recommendations or guidance are performed at the client’s sole risk.
5. Fees & Payment
Fees are due in advance unless otherwise agreed in writing. All payments are non-refundable once services have commenced or deliverables have been provided.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Speed Up SharePoint shall not be liable for any damages of any kind, whether direct, indirect, incidental, consequential, special, exemplary, or punitive, including but not limited to lost profits, lost revenue, business interruption, system downtime, data loss, security incidents, or implementation outcomes.
The client expressly acknowledges that all services are advisory only and that Speed Up SharePoint does not assume operational control, system ownership, or decision-making authority. The client assumes all risks associated with the use of any advice, recommendations, or materials provided.
In all cases, Speed Up SharePoint’s total aggregate liability shall be limited to $0.00 USD. No monetary damages, reimbursements, refunds, or compensation of any kind shall be owed, to the fullest extent permitted by law.
7. Indemnification
Clients agree to indemnify, defend, and hold harmless Speed Up SharePoint and its owner from any claims, damages, losses, liabilities, costs, or expenses arising from the client’s use of services, reliance on advice, or implementation of recommendations.
8. Confidentiality
All non-public client information is treated as confidential and will not be disclosed except as required by law or with client consent.
9. Dispute Resolution
Any dispute arising from these Terms or the services provided shall be resolved exclusively through binding arbitration in the State of California. Clients waive the right to trial by jury and participation in class or representative actions.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
11. Updates
These Terms may be updated at any time. Continued use of services constitutes acceptance of the updated Terms.
